These Terms and Conditions (“Terms”) govern your access to and use of the CapReady website, content, products, services, and materials (collectively, the “Services”) provided by CapReady (“Company,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services. 

1. Nature of Services

CapReady provides educational, advisory, and consulting services related to business financing preparedness, credit readiness, and general business and financial concepts.

CapReady:

  • Is not a bank
  • Is not a lender
  • Does not extend credit
  • Does not make underwriting or credit decisions
  • Does not represent or act on behalf of any lender
  • Does not guarantee financing approvals, terms, rates, or outcomes

All Services are provided for informational and educational purposes only.

2. No Professional, Fiduciary, or Agency Relationship

Your use of the Services does not create:

  • A lender-borrower relationship
  • A fiduciary relationship
  • An agency relationship
  • A legal, accounting, tax, investment, or financial advisory relationship

CapReady does not provide legal, tax, accounting, investment, or regulated financial advice. You are solely responsible for decisions made based on information provided through the Services.

3. Educational and Advisory Disclaimer

All information, materials, templates, examples, and guidance provided by CapReady:

  • Are general in nature
  • Are based on experience, best practices, and hypothetical scenarios
  • Should not be interpreted as guarantees, promises, or predictions

Any examples of lender behavior, credit analysis, or financing structures are illustrative only. Actual lender decisions are made independently by third parties and may differ materially.

5. Client Responsibilities

  • You understand that lenders may reject, modify, or ignore any materials prepared or reviewed through the Services

CapReady is not responsible for outcomes resulting from incomplete, inaccurate, or misleading information provided by you.

6. Fees, Payments, and Billing

Fees for Services are disclosed prior to purchase or engagement.

All payments:

  • Are due in advance unless otherwise stated
  • Are processed through third-party payment processors
  • Are subject to pricing and terms in effect at the time of purchase

CapReady reserves the right to modify pricing at any time.

7. Refunds, Cancellations, and Chargebacks

All sales are final.

Unless otherwise stated in writing:

  • Advisory services, consultations, and reviews are non-refundable
  • Digital products, templates, courses, and educational materials are non-refundable
  • No refunds are provided for partially completed Services
  • No refunds are provided based on dissatisfaction with outcomes, lender decisions, or business results

By purchasing the Services, you acknowledge that you are paying for time, expertise, access, and educational value, not a guaranteed result.

Unauthorized chargebacks or payment disputes may result in immediate termination of access to Services.

8. Intellectual Property

All content provided through the Services, including but not limited to:

  • Written materials
  • Templates
  • Frameworks
  • Reports
  • Videos
  • Course content
  • Website text and design

are the exclusive property of CapReady and are protected by intellectual property laws.

You may not copy, reproduce, modify, distribute, share, resell, or create derivative works without prior written consent.

9. Confidentiality and Data Handling

While CapReady treats client information with care, you acknowledge that:

  • Electronic communications are not fully secure
  • No method of transmission guarantees absolute confidentiality
  • CapReady is not liable for unauthorized access beyond its reasonable control

10. Third-Party Websites and Tools

The Services may reference or link to third-party websites, platforms, or tools. CapReady does not control and is not responsible for:

11. Limitation of Liability

To the fullest extent permitted by law, CapReady shall not be liable for:

CapReady’s total liability shall not exceed the amount paid by you to CapReady for the Services giving rise to the claim.

You agree to indemnify and hold harmless CapReady from any claims, damages, losses, liabilities, or expenses arising from:

  • Your use of the Services
  • Your business or financial decisions
  • Your interactions with third-party lenders
  • Your violation of these Terms

13. No Warranties

The Services are provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability or fitness for a particular purpose.

14. Termination

CapReady reserves the right to suspend or terminate access to the Services at any time, without notice, for conduct that violates these Terms or is harmful to the Company or others.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of North Dakota, without regard to conflict-of-law principles.

16. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms constitute the entire agreement between you and CapReady regarding the Services and supersede all prior communications or agreements.

18. Changes to These Terms

CapReady reserves the right to modify these Terms at any time. Updates will be posted with a revised effective date. Continued use of the Services constitutes acceptance of the revised Terms.
